For example, we may use data storage vendors or partner with other companies to process your payments or to store your personal information when necessary to support delivery of our Services and respond to customer service requests. Whenever we share data with third-party services, we require that they use your information only for the purposes we’ve authorized, and that they protect your personal information at least to the same standards we do. We do not “sell” your personal information for monetary consideration. However, we may disclose certain personal information, such as online identifiers and information about your activity on our Site, to advertising partners to deliver or measure targeted advertising, including retargeted advertising on other websites. Depending on the circumstances and applicable state privacy laws, these activities may constitute a “sale” or “sharing” of personal information or processing for “targeted advertising.” . You may opt out of this advertising-related sharing as described in Section 9 (Your Privacy Rights in Personal Information).

 Your name and your actions in the Portal are visible to other authorized users of your organization’s account and to our personnel, as described in Section 7.

We also reserve the right to disclose personal information when it is reasonably necessary to conduct our business, protect Guidant’s legal rights and property, and to comply with the law or if we believe disclosure is necessary or appropriate to otherwise protect the rights, property, or safety of Guidant, our customers, or others.  We may also disclose personal information to a buyer or successor in connection with a merger, acquisition, financing, reorganization, bankruptcy, or sale or transfer of all or part of our business or assets. Otherwise, your personal information is not shared with any individual or other organization. 4. Protection of your Personal Information

We take the security of your personal information seriously, and follow industry-standard practices to protect the data we collect and process. Guidant has therefore put in place commercially reasonable physical, electronic, and managerial procedures to safeguard and secure the personal information that Guidant collects. Access to personal information will be limited to authorized personnel who require the information in order to perform their duties properly. In addition, access will be limited to only that information that is reasonably necessary for the performance of those duties.

Remember, the safety and security of your information also depends on you. Where you have chosen, or where we have given you a user name and password for access to certain parts of the platform, Site or Services, you are responsible for keeping the user name and password confidential. No method of transmission over the internet or electronic storage is completely secure, so Guidant cannot guarantee its absolute security. If we become aware of a breach of security that compromises your personal information, we will notify you and any applicable regulatory authorities as and within the time required by applicable law.

5. Data Transfers

Because Guidant is a US-based company, your information may be collected and processed in the United States. Additionally, as part of the Services offered to you through our Site, the information which we collect about you may be transferred to, and stored in, one or more countries other than where you currently reside. For example, this may occur if any of our servers or third-party service providers are located in a country other than yours. These countries may have different data protection laws that are similar to your current residence. However, if we transfer your information in this way, we will put in place appropriate protection to make sure your personal data remains adequately protected and is treated in line with this Privacy Policy.

6. Email Notifications

We try to keep email communications to a minimum, and give you the ability to opt-out of any marketing communications we may send. For example, we may send you emails related to the Services we offer. You may also elect to receive certain marketing communications in accordance with your preferences, and from which you may opt-out at any time. You can always opt-out of receiving marketing emails or mobile device notifications from Guidant (other than communications related to your subscriptions and use of the Services, as well as messages notifying you of any Privacy Policy and Terms and Conditions and Portal Terms of Use updates, and the like) or by sending us an email at legal@guidantpower.com stating your request. If we have sent you a promotional email or mobile device notification, you may send us a return email or mobile device communication asking to be omitted from future optional notices.

7. The Guidant Customer Portal

This section applies to the Guidant Power Customer Portal (the “Portal”), through which our customers and their personnel access inspection reports, findings and related information. This section supplements the rest of this Privacy Policy and controls to the extent it conflicts with any more general provision.

7.1 Where your information comes from. Your Portal account is created by an administrator at the organization you work for that is our customer (the “Customer”), or by Guidant for its own personnel. The Customer supplies your identifying information and decides what you may access. Where the Customer chooses to have you sign in through its own identity service, we receive your identity and related attributes from that service. For the information the Customer or its users provide about the Customer’s personnel, facilities and operations, Guidant acts on the Customer’s behalf, and the Customer is responsible for providing its users any notices, and obtaining any consents, as required by applicable law, and for handling their privacy requests.

7.2 What we collect. Depending on how the Portal is configured and used, we collect:

a. Account information, such as your name, email address, organization, permissions and access scope, and credentials or identity attributes needed to sign you in;

b. Activity information, such as when you sign in, what you access, and the actions you take, including changes you make to findings, remediation status and notes, together with technical information such as device, browser and network identifiers;

c. Communication information, such as the emails we send you and indicators of whether they were delivered or opened; and

d. Customer information that the Customer or its users provide about its facilities, equipment and inspections, which may include locations where you work.

7.3 How we use it. To operate your account and deliver the Customer’s services; to show authorized users and our personnel who did what; to send communications necessary to operate your account and deliver the services; to secure the Portal, investigate misuse and keep records of access; to provide support; to improve the Portal; and to produce de-identified, aggregated information that does not identify you or the Customer.

7.4 Who can see it. Other authorized users of the Customer’s account can see your name and your actions in the Portal. Guidant personnel with an operational need can see your account, activity and communication information to administer accounts, deliver services and provide support. If the Customer shares Portal content with third parties, those third parties may see your name where it appears in that content.

7.5 Service providers. We use third-party service providers to host and operate the Portal, deliver email, render maps, authenticate users and perform similar functions. They act on our instructions, may use your information only to provide their services to us, and may not sell it or use it for their own purposes. We do not sell Portal information and do not use the Portal for advertising.

7.6 Cookies and similar technologies. The Portal uses cookies and similar technologies that are necessary to sign you in, keep you signed in, secure the Portal and remember your settings. We may also use these technologies to understand how the Portal is used so we can improve it. The Portal cannot be used with necessary cookies disabled. The advertising cookie categories described in Section 1.3 for our website do not apply to the Portal.

7.7 Communications. We send emails necessary to operate your account and deliver the Customer’s services, such as account setup, security notices, and notices about reports, findings and schedules. These are service communications, not marketing, and are sent for as long as you hold an account. Section 6 of this Policy concerns marketing communications and does not apply to the communications described in this Section 7.7.

7.8 Retention. We retain Portal information for as long as we maintain the Customer’s account and thereafter for as long as reasonably necessary for our records, our obligations to the Customer, legal requirements and our business purposes. When your access ends, your account is deactivated rather than deleted, so that records of actions you took remain attributable and the Customer’s records stay complete.

7.9 Your choices. To correct your information or end your access, contact the Customer’s administrator. You may contact us at legal@guidantpower.com with questions or requests about your Portal information. Because your account is provided through the Customer, we may need to involve the Customer, and requests are subject to our retention practices in Section 7.8.

7.10 Children. The Portal is a business tool for our Customers’ personnel and is not directed to anyone under 13 years of age.

8. Retention

We will hold your personal information on our systems for as long as is reasonably necessary to fulfill the purposes described, as long as is set out in any relevant contract you hold with us, or as otherwise legally permitted or required. The relevant retention period is determined on a case-by-case basis as it depends on factors such as the nature of the data, why it is collected, why it is processed, and any relevant legal or operational retention needs. For example, we may retain your data for as long as you are a customer of ours so that we may process and complete any orders you may make with us. We may also be required to hold some types of information to fulfill legal purposes. We review our retention periods for personal information on a regular basis.

When we no longer need your personal information for the purposes described in this Privacy Policy, we will delete it or de-identify it so that it can no longer reasonably be linked to you, your household, or your device. We may retain and use aggregated or de-identified information as described in this Policy without further restriction. Portal information is retained as described in Section 7.

9 Your Privacy Rights in Personal Information

9.1 Rights in personal information. Please indicate which right you are exercising and include your name, the email address associated with any account or communication with us, and enough detail for us to locate your information and verify your identity (for example, that you submitted a form or hold a Portal account). We will use the information provided only to verify and process your request. You may use an authorized agent to submit a request on your behalf, subject to our verification of the agent’s authority and, where required, your authorization. 9.3 Portal users. If your access to our Portal is provided through your organization, requests about your Portal information are handled as described in Section 7.9, and we may need to direct your request to, or coordinate with, the Customer.

10. Questions, Comments, or Complaints

If we do, we’ll let you know about any material changes, either by notifying you on the Site or by sending you an email. Any updates to this Policy will not apply retroactively.
